Joint printed wiring board company established (Dongguan, Guangdong Province,
China)
CMK Corporation (CMK) and the Chinese (Taiwan) company Pou Chen Corporation
(Pou Chen) have developed their strategic alliance relationship even further,
and have reached an agreement to establish and operate a joint venture that
will conduct printed wiring board (PWB) business, based in the PWB production
plant located in Dongguan, Guangdong Province, Peoplefs Republic of China.

Strategic alliance with Photocircuits
CMK Corporation (CMK) has reached a basic agreement with Photocircuits Corporation (PC), a major US printed wiring board manufacturer, to form a strategic business alliance. From this alliance, CMK and PC will build a tripolar operation in China / Japan / USA, and aim for increased shares in the US and European printed wiring board markets. The priority sales areas are the US automotive printed wiring board market, in which PC holds a 40% share, and the European printed wiring board market.
1. Credit from CMK, as well as the acquisition of a stock purchase warrant
CMK will provide financing to PC, and will acquire the rights to convert
this financing into ordinary PC stock. In the case that this progresses
to a capital alliance, the acquisition of near half of all stock is expected.B
2. Alliance of sales affairs
PC will take on the marketing in USA/Europe of products that are not manufactured
by PC, such as products from CMK Group's overseas bases (mainly Chinese
manufacturing sites) and build-ups, with the aims of improving the product
line and production capacity for PC, and sales expansion of our groupfs
products in the US market for CMK.
3. Mutual provision of development and manufacturing technologies
CMK and PC will strive to improve the technology level at both companies
by each providing to the other the technology in which they excel.
4. Improving CMK's Chinese manufacturing bases
In order to maximize the effects of this alliance, CMK is improving and expanding
its Chinese operations. In order to realize this, in addition to expanding
our own production capacity, we are also setting our sights on OEM alliances
and joint ventures with third parties.
